These Terms and Conditions ("Terms") govern your access to and use of JYRO Technology's platform, application, and execution services ("JYRO", "the Service"). By accessing or using JYRO — including via the mobile application, web platform, or any interface — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
Definitions
Brain (Agent) means a trained execution operator who reviews, structures, and executes user instructions on the JYRO platform, including capturing required proof at milestones. "Brain" and "Brain (Agent)" are used interchangeably throughout JYRO's platform and communications.
Business Day means a day other than Saturday, Sunday, or a public holiday in Lagos State, Nigeria.
Instruction Value means the total amount paid by the user for a given instruction, including any amounts collected for third-party purchases and JYRO's service fees, excluding refunds already issued.
Physical Execution is deemed to have commenced when a Brain (Agent) has taken any of the following actions in furtherance of an instruction: travel to a location for fulfilment, purchase/collection attempt, initiation of a milestone requiring proof, or any other on-the-ground step reasonably undertaken to execute a confirmed instruction.
1. The Service
JYRO is an on-demand execution and transaction service that structures, confirms, and executes user instructions through its platform and execution network. Users submit instructions to JYRO via the platform. JYRO structures, confirms, and executes those instructions through a network of trained Brains (Agents), Riders, and Cluster Managers. JYRO is not a delivery service, logistics company, or marketplace. JYRO is an execution intermediary — it takes responsibility for closing each instruction against an agreed standard of completion.
2. Eligibility
You must be at least 18 years of age to use JYRO. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement. JYRO may verify your identity and suspend access pending verification.
3. Account Registration
You are responsible for maintaining the confidentiality of your account credentials. You must provide accurate, current, and complete information and keep it updated. You are responsible for all activity under your account. Notify JYRO immediately at support@jyro.app if you suspect unauthorised access.
4. Submitting an Instruction
Submitting an instruction initiates a structured confirmation process. A Brain (Agent) may be assigned to review and confirm the scope, source, budget, constraints, and expected outcome. No execution begins and no payment is taken until you have reviewed and approved the confirmed instruction. By approving a confirmed instruction, you authorise JYRO to collect payment and place the funds on hold for controlled, milestone-based release in accordance with the confirmed instruction and JYRO's proof and closure rules.
5. Payment Hold and Controlled Release
5.1 Payment Collection. Payment is collected in full upon your approval of a confirmed instruction.
5.2 Payment Hold. Funds are placed on hold for controlled release and are not treated as available to Brains (Agents) or Riders until applicable milestone conditions are satisfied.
5.3 Milestone Release. Funds may be released in tranches only upon verified completion of agreed milestones as recorded by JYRO's proof system and the confirmed instruction.
5.4 Fees. JYRO charges a service fee disclosed prior to approval. Unless otherwise stated at confirmation, the service fee becomes earned as execution progresses and is handled under Clause 7 (Cancellations and Refunds).
5.5 Payment Provider. Payment processing may be provided by third-party payment processors or financial institutions. You authorise JYRO and its processors to process payments and releases consistent with these Terms and the confirmed instruction.
6. Execution, Evidence, and Closure
6.1 JYRO executes confirmed instructions through its Brain (Agent) network. Brains (Agents) are responsible for physically attending to the instruction, capturing required evidence at each milestone (which may include timestamped photographs, location data, receipts, and handover confirmation), and updating the instruction status on the platform.
6.2 JYRO's proof system governs milestone release and instruction closure.
6.3 An instruction is considered closed when (a) the agreed outcome has been delivered and confirmed by you through the platform, or (b) JYRO, acting reasonably, determines based on the confirmed instruction and required evidence that the agreed outcome has been met.
7. Cancellations, Refunds, and Re-execution
7.1 Pre-execution cancellation. You may cancel an instruction at any time before a Brain (Agent) commences Physical Execution. In such cases, JYRO will process a refund of all funds collected less (i) any confirmed third-party costs already incurred at your request, and (ii) any non-refundable payment processing fees where applicable.
7.2 Post-commencement cancellation. If you cancel after Physical Execution has commenced, you will be responsible for costs incurred up to the point of cancellation, including any third-party costs and any earned service fees corresponding to completed milestones. Any remaining balance (if any) will be refunded.
7.3 Failure to deliver. Where JYRO fails to deliver the confirmed outcome through no fault of the user, JYRO will, within a reasonable period and in any event not exceeding 5 Business Days from the dispute being raised, offer either (a) re-execution at no additional service fee, or (b) a refund of the portion of funds not properly applied to third-party costs and completed milestones.
7.4 User unresponsiveness. Where execution requires user approval or clarification and the user does not respond within a reasonable period communicated during execution, JYRO may pause execution, proceed according to confirmed substitution rules (if any), or close the instruction as incomplete. Refunds (if any) will be calculated under Clauses 7.1 to 7.3 based on costs incurred.
7.5 Disputes window. Disputes must be raised within 72 hours of closure for standard instructions. For high-value instructions (defined as Instruction Value above ₦250,000), disputes must be raised within 5 Business Days of closure. After the applicable window, the instruction is treated as accepted and closed for platform purposes, subject to any non-excludable rights under applicable law.
8. User Obligations
You agree to: provide accurate and lawful instructions; not use JYRO for any illegal, fraudulent, or harmful purpose; not submit instructions that violate third-party rights; not attempt to circumvent JYRO's systems, pricing, or proof mechanisms; and treat Brains (Agents), Riders, and JYRO staff with respect. JYRO may refuse, pause, cancel, or suspend any instruction or account that breaches these obligations, including without refund where fraud or material misrepresentation is involved.
9. JYRO's Role, Standard of Completion, and Liability
9.1 Principal service provider. JYRO acts as the principal service provider for execution of confirmed instructions and takes responsibility for closing each instruction against the confirmed scope and agreed standard of completion.
9.2 Liability cap. To the maximum extent permitted by law, JYRO's total liability arising out of or relating to any single instruction is limited to the Instruction Value less any refunds already issued for that instruction.
9.3 No consequential loss. JYRO will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profit, loss of business, or business interruption.
9.4 Excluded causes. JYRO is not liable for losses arising from force majeure; third-party failures outside JYRO's control; inaccurate or incomplete instructions provided by the user; or delays caused by the user's failure to respond during execution.
9.5 Non-excludable liability. Nothing in these Terms limits liability for fraud, gross negligence, or death/personal injury caused by JYRO's acts or omissions where such limitation is prohibited by law.
10. Intellectual Property
All content, trademarks, brand elements, platform technology, and proprietary systems — including the Digital Table and proof infrastructure — are the exclusive property of JYRO Technology. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for submitting and managing instructions. Restrictions. You may not reproduce, distribute, publicly display, reverse-engineer, decompile, disassemble, modify, or create derivative works of any part of the Service, including the Digital Table, proof system, or underlying software, except to the extent such restriction is prohibited by applicable law.
11. Partner Terms and Non-Override
Brains (Agents), Riders, Cluster Managers, and TIPs operate under separate Partner Agreements. Partner Terms Do Not Override. Where an instruction involves a third-party store, vendor, service provider, or partner ("Partner"), the Partner may have its own policies and terms. However, these Terms govern the relationship between you and JYRO, including execution standards, proof requirements, dispute handling, and payment release rules. No Partner may modify or override JYRO's closure rules for a confirmed instruction. Where a Partner's policy conflicts with a confirmed instruction, JYRO will apply the confirmed instruction and JYRO's proof and dispute rules and may require user approval where necessary.
12. Suspension, Termination, and Account Closure
JYRO may suspend or terminate access for breach of these Terms, fraudulent conduct, non-payment, or activity that JYRO reasonably determines poses risk to users, partners, or the platform. Account closure. Users may close their account by contacting support@jyro.app. Account closure may be delayed until any pending instructions are completed, cancelled, or refunded in accordance with Clause 7. Wallet balances on termination. Where JYRO holds pre-funded balances on behalf of a user at the time of termination, such balances will be returned to the user within 10 Business Days, net of any amounts owed to JYRO under these Terms.
13. Modifications to the Service and Terms
JYRO may modify, suspend, or discontinue aspects of the Service. We will provide reasonable notice of material changes to these Terms. Continued use of the Service following notice constitutes acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Parties agree to first attempt resolution through good-faith negotiation. Where negotiation fails, disputes shall be referred to the jurisdiction of the courts of Lagos State, Nigeria. Injunctive relief. Nothing in this Clause prevents JYRO from seeking urgent injunctive or equitable relief in any competent jurisdiction.
15. Entire Agreement
These Terms, together with the Privacy Policy and any applicable Partner Agreement, constitute the entire agreement between you and JYRO with respect to your use of the Service, and supersede all prior agreements, representations, or understandings.
Schedule A — Prohibited Instructions
You may not use JYRO to request, facilitate, or attempt any instruction involving: (1) illegal activity (including fraud, theft, bribery, forgery, impersonation) under Nigerian law or the laws of any jurisdiction in which the instruction is to be executed; (2) weapons/ammunition/explosives or parts thereof; (3) controlled drugs or prescription medicines without valid prescription or where prohibited — JYRO does not verify the authenticity or validity of prescriptions presented by users; responsibility for lawful prescription status rests solely with the user; (4) dangerous goods (toxic chemicals, flammables, corrosives) unless expressly permitted by law and JYRO rules; (5) stolen or counterfeit goods; money laundering; concealment of proceeds; (6) harassment, threats, or violence; (7) sexual services/exploitation, trafficking, or abuse; (8) data theft/hacking/surveillance or unauthorised access to accounts/devices; or (9) attempts to bypass JYRO safety rules, including off-platform execution/payment arrangements. JYRO may refuse, pause, terminate, or suspend accounts involved.
Schedule B — Restricted Instructions (Allowed Only With Conditions)
The following may be executed only if the user meets conditions and JYRO confirms feasibility: (1) cash handling/delivery, subject to limits and identity confirmation; (2) high-value items, requiring enhanced proof and possible extra fees/security steps; (3) banking errands, for lawful user-authorised actions only, no impersonation/forgery; (4) construction/site procurement/supervision, requiring staged milestones and approvals; (5) medical errands — OTC medicines allowed, prescription medicines require valid prescription; (6) cross-city/cross-state execution within supported coverage only; (7) elevated-risk instructions, which may require special handling rules or refusal. Where JYRO refuses execution on safety grounds after commencement, any refund will be calculated under Clause 7.2 based on costs incurred up to the point of refusal.
Schedule C — Refusal Right
JYRO may refuse, pause, or modify any instruction where the instruction is unsafe, illegal, or operationally infeasible; required verification/approvals are not provided; or the risk profile exceeds acceptable thresholds. Brains (Agents) are required to pause execution and notify JYRO immediately where they identify a prohibited or restricted instruction during execution. JYRO will determine next steps, including refund eligibility under Clause 7.
